CORPORATE MEMBERSHIP AND TRAVEL MANAGEMENT PANEL USAGE AGREEMENT

1. PARTIES
This Corporate Membership and Travel Management Panel Usage Agreement ("Agreement"),
a) Service Provider: Title: DUTACS GmbH Address: Mörfelderstr. 97 Kelsterbach 65451 Germany Trade Register No.: HRB104140 Website: www.dutacs.de (hereinafter referred to as "DUTACS" or "Platform" )
b) Member Business: A legal or natural person merchant who registers as a corporate member on the DUTACS platform (hereinafter referred to as "MEMBER BUSINESS" )
entered into force on the date of electronic approval.
2. DEFINITIONS
In this contract;
- Dashboard (Panel): The interface at dashboard.dutacs.de where the Member Business manages travel planning, reservations, invoices and employee authorisations,
- Sub User (Employee): Personnel travelling or organising on behalf of the Member Business, who are given access to the panel by the Member Business,
- Service Providers: It refers to third party companies (Airlines, Hotels, etc.) that actually provide services such as flight tickets, hotels, car rental, transfer, etc.
3. SUBJECT AND SCOPE OF THE CONTRACT
The subject of this agreement is to determine the mutual rights and obligations of the MEMBER BUSINESS regarding the purchase, reservation and reporting of travel products (hotel, flight, transfer, visa consultancy, etc.) on behalf of itself or its employees by using the Corporate Travel Dashboard developed by DUTACS.
4. MEMBERSHIP AND DASHBOARD USAGE CONDITIONS
4.1. Authorisation and Responsibility: The MEMBER BUSINESS is personally responsible for the security of the "Administrator (Admin)" account given to it for access to the Dashboard. All transactions (reservation, cancellation, change) made by Sub-Users (Employees) added to the system by the Administrator are deemed to have been made directly by the MEMBER BUSINESS and the financial responsibility belongs to the MEMBER BUSINESS.
4.2. Declaration of Accurate Information: MEMBER BUSINESS undertakes that the billing information, employee passport/identity information and contact details entered into the system are correct and up-to-date. DUTACS cannot be held responsible for reservation cancellations or penalty fees (e.g. name error in flight ticket) arising from incorrect information entry.
4.3. Misuse: Dashboard may only be used for internal travel management purposes. MEMBER BUSINESS undertakes not to make the platform available to third parties for commercial purposes (acting as an agent).
5. RESERVATION, PAYMENT AND INVOICING
5.1. Payment Methods: MEMBER BUSINESS may pay the price of the purchases made through Dashboard; a) with the Corporate Credit Card defined in the system, b) within the limits of the current account (DBS - Direct Debit System), c) in advance via Money Order / EFT.
5.2. Service Fees and Taxes: The displayed prices are inclusive of VAT and other taxes. DUTACS reserves the right to reflect instant price changes (dynamic pricing) made by airlines or hotels. The final price is fixed at the time of payment confirmation.
5.3. Cancellation and Refund: Cancellation and refund conditions of purchased services are subject to the rules of the original provider of the service (Airline, Hotel). promotional products that are stated as "Non-refundable" are non-refundable. DUTACS reserves the right to deduct the service fee for cancellations.
6. PRIVACY AND PROTECTION OF PERSONAL DATA (KVKK)
6.1. Data Processing: DUTACS processes personal data of MEMBER BUSINESS and its employees (Identity, Passport, Contact, Travel Preferences) within the scope of service performance (ticketing, reservation) and legal obligations.
6.2. Transfer to Third Parties: The data required for the realisation of the travel are shared with third parties such as the relevant airline, hotel, insurance company or consulate and, in case of legal obligation, with the competent public institutions (Police, Tax Office).
6.3. Employee Enlightenment: MEMBER BUSINESS declares and undertakes that while entering the personal data of its employees into the Dashboard, it has obtained the necessary KVKK permissions from its employees and enlightened them.
7. LIMITS OF RESPONSIBILITY
7.1. Intermediary status: DUTACS acts as a "Travel Agent" according to § 651v BGB - Intermediation of travel services. DUTACS is not directly responsible for any disruptions caused by the Service Provider such as delays or breakdowns of the means of transport, overbooking (overbooking) of the hotel, force majeure (natural disasters, pandemics, strikes); however, DUTACS shall provide the necessary consultancy and follow-up on behalf of the MEMBER BUSINESS for the solution of the problem.
7.2. Technical Disruptions: DUTACS makes maximum effort to ensure that the Dashboard is operational 24/7. However, no compensation obligation arises due to the temporary suspension of the service due to planned maintenance, cyber attack or technical interruptions caused by infrastructure providers.
8. TERMINATION OF CONTRACT
8.1. MEMBER BUSINESS may terminate its membership at any time by giving written notice. In this case, pending payments shall immediately become due and payable. 8. 2. DUTACS has the right to terminate the contract unilaterally and without compensation if the MEMBER BUSINESS fails to fulfil its payment obligations or abuses the system.
9. DISPUTE RESOLUTION
In case of disputes arising from this Agreement, the Courts and Execution Offices of [Province where your Company is located] are authorised.
